Streetlight Advertising Services – Monthly Direct Debit Contract
1. Definitions
“Company” refers to the advertising provider.
“Client” refers to the individual or business purchasing services.
“Campaign” refers to the monthly streetlight advertising service.
“Sites” refers to the streetlight billboard locations used.
2. Service Overview
The Company provides a rolling monthly streetlight advertising service which includes:
- 1 to 4 illuminated 6 sheet billboard placements
- Artwork design or adaptation
- Printing of advertising materials
- Installation on selected sites
- Optional site rotation
- Photo confirmation where available
3. Minimum Term
- All campaigns are subject to a minimum commitment of 3 months.
- After the initial term, the agreement continues on a rolling monthly basis until cancelled in line with these terms.
4. Payment Terms
- Payments are collected monthly in advance via Direct Debit using GoCardless.
- By agreeing to the service, the Client authorises recurring payments.
- Failure to make payment may result in suspension or removal of advertising without notice.
5. Cancellation and Notice
- A minimum of 1 month’s written notice is required to cancel.
- Cancellation can only take effect after the initial 3 month term.
- Campaigns will continue until the end of the next billing cycle following notice.
6. Artwork and Design
6.1 Included Design Service
Professional artwork creation is included. The Company will design adverts based on the Client’s brief, branding, or supplied materials.
6.2 Client Supplied Artwork
Clients may submit their own artwork in Adobe Illustrator (AI), Photoshop (PSD), or InDesign (INDD) format.
All submitted artwork:
- Must meet the Company’s specifications
- Is subject to review and approval
- May be amended to ensure suitability for print and outdoor visibility
6.3 Adjustments and Approval
The Company reserves the right to make necessary adjustments to artwork, including layout, sizing, contrast, font size, and readability, to ensure the advert performs effectively on streetlight media.
Where changes are material, updated artwork will be shared for approval prior to print. Minor technical adjustments may be made without requiring re-approval.
The Company is not liable for errors once final artwork has been approved by the Client.
7. Printing and Materials
- Standard campaigns include paper posters suitable for short-term display.
- Vinyl upgrades are available at an additional cost.
- The Company is not responsible for deterioration due to weather, environmental factors, or third-party damage.
8. Installation and Site Allocation
- Advertisements will be installed at agreed or comparable locations.
- All placements are subject to availability.
- Where a site is unavailable, a suitable alternative will be used.
The Company reserves the right to rotate sites where appropriate to improve campaign reach and performance.
9. Campaign Performance
- Estimated viewing figures (OTS) are indicative only.
- The Company does not guarantee specific results, sales, or engagement.
10. Delays and External Factors
The Company is not liable for delays or disruption caused by circumstances outside its control, including:
- Weather conditions
- Local authority restrictions
- Damage, vandalism, or theft
- Supply or installation delays
11. Client Responsibilities
The Client agrees:
- To provide lawful and compliant advertising content
- Not to submit misleading, offensive, or infringing material
- That they hold rights to all submitted content
The Company reserves the right to refuse or remove content that breaches these requirements.
12. Liability
- The Company’s liability is limited to the value of the monthly service fee.
- The Company is not liable for indirect or consequential losses, including loss of revenue or business opportunity.
13. Intellectual Property
- All design work remains the property of the Company until full payment is received.
- Upon payment, the Client is granted a licence to use the final artwork for marketing purposes.
14. Suspension and Termination
The Company may suspend or terminate the agreement if:
- Payments are missed or cancelled
- The Client breaches these terms
- The Client provides unlawful or unsuitable content
15. Amendments
The Company reserves the right to update these Terms and Conditions at any time. Continued use of the service constitutes acceptance of any updates.
16. Governing Law
These Terms and Conditions are governed by the laws of Scotland. Any disputes shall be subject to the jurisdiction of Scottish courts.
